Terms of Service

1. Agreement to These Terms

These Terms of Service (“Terms”) govern access to and use of the products and services offered by ConvoPal AI LLC (“ConvoPal AI,” “ConvoPal,” “we,” “us,” or “our”).

By signing an order form or service agreement, checking a box indicating acceptance, submitting payment, creating an account, or accessing or using any Services, you agree to these Terms.

When accepting these Terms for a business or organization, you represent that you have authority to bind that business or organization. In these Terms, “Customer” or “you” means the business or organization purchasing or using the Services.

The Services are intended solely for business and commercial use. They are not offered for personal, family, or household use.

2. Services

ConvoPal AI provides managed, configured, and white-labeled communication, customer-management, artificial-intelligence, and automation services.

Depending on the Customer’s plan or order form, the Services may include:

  • AI voice receptionists and voice agents;
  • Website chatbots and conversational agents;
  • Customer relationship management tools;
  • Lead capture, qualification, and routing;
  • Appointment scheduling;
  • Telephone, text-message, and email functionality;
  • Review and reputation-management tools;
  • Marketing and customer follow-up workflows;
  • Business-process automations;
  • Websites, forms, funnels, surveys, and calendars;
  • Third-party integrations;
  • Reporting and analytics; and
  • Configuration, onboarding, maintenance, and support.

The exact Services, features, fees, usage allowances, subscription term, support, and deliverables purchased by a Customer will be identified in the applicable proposal, order form, invoice, checkout page, or service agreement.

Features not expressly included in the applicable plan or order form are not included.

3. Third-Party and White-Label Platform

The Services are provided using software, infrastructure, artificial-intelligence systems, telecommunications services, and other technology supplied by third parties, including HighLevel and its service providers (“Platform Providers”).

ConvoPal AI configures, manages, brands, and resells access to certain Platform Provider services. ConvoPal AI does not own or independently develop all underlying software or infrastructure used to provide the Services.

Customer acknowledges that:

  • Features, integrations, interfaces, usage limits, provider requirements, and functionality may be changed, restricted, replaced, or discontinued by a Platform Provider;
  • Platform Providers may experience outages, delays, errors, security incidents, carrier restrictions, or technical failures outside ConvoPal AI’s reasonable control;
  • ConvoPal AI cannot grant Customer greater rights or service guarantees than ConvoPal AI receives from the applicable Platform Provider;
  • Continued availability of a feature may depend on ConvoPal AI’s continued relationship with the Platform Provider; and
  • Customer may be required to comply with applicable Platform Provider policies and acceptable-use requirements.

ConvoPal AI may modify, substitute, suspend, or discontinue a feature when reasonably necessary because of a Platform Provider change, technical limitation, legal requirement, security concern, or operational need.

All support requests must be submitted to ConvoPal AI. Customer may not contact, demand support from, or represent that it has a direct contractual relationship with an underlying Platform Provider unless separately authorized by that provider.

Customer may not resell, sublicense, transfer, or provide third-party access to the Services unless ConvoPal AI expressly authorizes it in writing.

4. Artificial Intelligence and Automated Actions

The Services may use artificial intelligence, machine learning, automated workflows, and third-party AI providers to generate responses, conduct conversations, summarize communications, qualify leads, schedule appointments, trigger actions, and perform other tasks.

AI-generated content and automated actions may occasionally be:

  • Inaccurate;
  • Incomplete;
  • Delayed;
  • Outdated;
  • Misleading;
  • Inconsistent;
  • Inappropriate; or
  • Unavailable.

ConvoPal AI does not guarantee the accuracy, completeness, legality, reliability, timeliness, tone, or suitability of any AI-generated response or automated action.

Customer is responsible for:

  • Providing accurate and current business information, pricing, policies, scripts, instructions, and frequently asked questions;
  • Reviewing and approving the initial configuration;
  • Testing the Services before public use;
  • Monitoring calls, chats, messages, appointments, and automated actions;
  • Promptly notifying ConvoPal AI of errors or necessary changes;
  • Maintaining appropriate escalation procedures and human oversight;
  • Verifying important information before acting or relying upon it; and
  • Determining whether the Services are appropriate for Customer’s business and intended use.

Customer acknowledges that live AI conversations may occur without prior human review. Customer accepts the risks associated with allowing an AI system to communicate or act on Customer’s behalf.

Customer remains responsible for statements, offers, appointments, commitments, pricing information, instructions, and other communications made through Customer’s account, including communications generated from information or instructions supplied by Customer.

5. No Professional or Emergency Services

The Services are not emergency-response systems and may not be used as a substitute for 911, emergency personnel, or other urgent services.

Unless ConvoPal AI expressly agrees otherwise in a signed agreement, the Services may not be used to provide or make unreviewed:

  • Medical diagnoses or treatment recommendations;
  • Legal advice;
  • Financial, investment, tax, or accounting advice;
  • Credit, employment, housing, insurance, or eligibility determinations;
  • Safety-critical instructions; or
  • Other licensed professional advice.

Customer must ensure that appropriate professionals review any communication involving regulated or professional services.

6. Customer Content and Instructions

“Customer Content” includes information, documents, scripts, recordings, contact lists, trademarks, logos, websites, messages, product information, pricing, policies, instructions, and other material supplied or made available by Customer.

Customer retains ownership of Customer Content.

Customer grants ConvoPal AI and its Platform Providers a nonexclusive, worldwide, limited license to host, copy, transmit, modify, display, process, and use Customer Content as reasonably necessary to:

  • Provide and support the Services;
  • Configure Customer’s account;
  • Perform Customer-authorized communications and automations;
  • Maintain security and service functionality;
  • Troubleshoot errors; and
  • Fulfill the parties’ agreements.

Customer represents and warrants that:

  • Customer owns or has permission to use and provide all Customer Content;
  • Customer Content and instructions are accurate and lawful;
  • Processing Customer Content will not violate another person’s privacy, publicity, contractual, intellectual-property, or other rights; and
  • Customer has obtained all required permissions and consents.

ConvoPal AI is not responsible for verifying Customer Content, pricing, offers, business policies, legal disclosures, or instructions supplied by Customer.

7. Customer Communications and Legal Compliance

Customer is responsible for all communications sent, initiated, scheduled, or generated through Customer’s account.

For purposes of applicable communications and marketing laws, Customer generally determines:

  • Who will be contacted;
  • Why the person will be contacted;
  • What content will be communicated;
  • When and how often communications will occur; and
  • Whether the person has provided legally sufficient consent.

Customer is responsible for complying with all applicable laws and industry requirements concerning:

  • Telephone calls and artificial or prerecorded voices;
  • Call monitoring, recording, and transcription;
  • Text messaging and automated messaging;
  • Email marketing;
  • Do-not-call and opt-out requests;
  • Consumer-protection disclosures;
  • Advertising and promotional claims;
  • Privacy and data protection;
  • Appointment reminders;
  • Lead generation; and
  • Customer consent.

Customer must maintain its own accurate privacy policy, terms, notices, call-recording disclosure, SMS consent language, and other legally required disclosures.

Customer must promptly honor unsubscribe, STOP, do-not-call, deletion, and other legally valid requests.

8. Call Recording and Transcription

The Services may include call monitoring, recording, transcription, summarization, or analysis.

Customer is solely responsible for determining whether those features may lawfully be enabled and for providing all required notices and obtaining all required consent before recording or transcribing communications.

ConvoPal AI’s configuration or availability of a recording feature does not constitute legal advice or a determination that Customer’s use is lawful.

9. Sensitive and Regulated Information

Unless expressly approved in a signed agreement, Customer may not use the Services to collect or process:

  • Social Security numbers;
  • Full payment-card numbers or security codes;
  • Bank-account credentials;
  • Passwords or authentication credentials;
  • Government identification documents;
  • Biometric identifiers;
  • Information knowingly collected from children;
  • Protected health information;
  • Highly sensitive medical information; or
  • Other data subject to heightened legal or security requirements.

HighLevel accounts are not HIPAA compliant by default. Its HIPAA safeguards require a separate paid package and appropriate Business Associate Agreements.

Customer may not process protected health information unless ConvoPal AI has approved the use in writing, all necessary Platform Provider safeguards have been enabled, and all required Business Associate Agreements have been signed.

10. Accounts and Security

Customer is responsible for:

  • Maintaining accurate account information;
  • Protecting passwords, API keys, authentication codes, and login credentials;
  • Limiting access to authorized users;
  • Removing access when a user is no longer authorized;
  • Reviewing account activity;
  • Using available security protections; and
  • Promptly notifying ConvoPal AI of suspected unauthorized access.

Customer is responsible for actions taken through its account unless caused solely by ConvoPal AI’s failure to use reasonable security measures.

Customer may not share account access with unauthorized parties, circumvent security controls, attempt to access another account, or interfere with the Services.

11. Fees and Payment

Customer agrees to pay only the subscription price and one-time setup fee displayed for the selected plan or expressly stated in the applicable order form or checkout page, plus applicable taxes.

Unless otherwise stated:

  • Subscription fees are billed in advance;
  • Setup and onboarding fees are billed before work begins;
  • There are no separate usage, overage, wallet, carrier, or third-party provider fees; and
  • The disclosed setup fee is nonrefundable once setup work has begun.

Customer authorizes ConvoPal AI and its payment processors to charge Customer’s payment method for the disclosed subscription fee, disclosed setup fee, and applicable taxes.

Customer must maintain a valid payment method. ConvoPal AI may suspend Services when a payment fails or an account becomes overdue.

Customer remains responsible for unpaid disclosed subscription fees, setup fees, and applicable taxes incurred before suspension or termination.

12. Free Trials and Promotional Offers

When ConvoPal AI offers a free trial or promotional period, the applicable checkout page or order form will state:

  • The length of the trial;
  • The Services included;
  • The price following the trial; and
  • How to cancel before paid billing begins.

Unless otherwise stated, a trial automatically converts to a paid subscription at the disclosed rate and billing frequency when the trial ends unless Customer cancels before the conversion date.

Creating multiple accounts to obtain repeated free trials is prohibited.

13. Renewal and Price Changes

Subscriptions are offered with monthly or annual billing, as selected at checkout or stated in the applicable order form. Unless an order form provides otherwise, subscriptions automatically renew for successive periods matching the selected billing term until canceled.

Customer authorizes ConvoPal AI to charge the then-applicable disclosed subscription fee upon each renewal.

ConvoPal AI may change its subscription prices upon at least 30 days’ notice. Applicable taxes may change when imposed by a governmental authority. No unlisted usage, overage, carrier, wallet, or third-party provider fees will be added.

A Customer that does not accept a subscription price increase may cancel before the new price takes effect.

California’s statutory automatic-renewal rules specifically define a “consumer” as an individual acquiring services for personal, family, or household purposes. This draft limits ConvoPal to commercial customers, but the subscription terms should still be displayed clearly and accepted affirmatively during checkout.

14. Cancellation and Refunds

Unless otherwise stated in a signed order form, subscriptions automatically renew according to the selected monthly or annual billing term and may be canceled at any time. Cancellation takes effect at the end of the customer’s current paid billing period. Subscription payments are nonrefundable and will not be prorated. A cancellation request received before the next renewal payment is processed will prevent the subscription from renewing for the following billing period. No separate usage, overage, wallet, carrier, or third-party provider charges will be billed after cancellation.

Except where required by law or expressly stated in a signed agreement, ConvoPal AI does not issue refunds or credits for:

  • Partial billing periods;
  • Unused features;
  • Unused usage allowances;
  • Customer’s failure to use the Services;
  • Customer configuration choices;
  • Temporary interruptions;
  • Suspensions caused by Customer; or
  • Setup or onboarding work already performed.

The Cancellation Policy is incorporated into these Terms. If an order form conflicts with the Cancellation Policy, the order form controls.

15. Suspension and Termination

ConvoPal AI may immediately suspend or restrict the Services when reasonably necessary because of:

  • Nonpayment;
  • Suspected fraud;
  • Illegal or abusive activity;
  • A security or privacy risk;
  • Excessive or harmful usage;
  • A violation of these Terms or the Acceptable Use Policy;
  • A governmental, carrier, Platform Provider, or regulatory request;
  • Conduct that may expose ConvoPal AI or a third party to liability;
  • A Platform Provider suspension or restriction; or
  • Discontinuation of an essential third-party service.

When reasonably possible, ConvoPal AI will provide notice and an opportunity to correct the issue.

ConvoPal AI may terminate a subscription upon 30 days’ notice when it elects to discontinue the applicable Service. In that situation, Customer’s sole remedy will be a prorated refund of prepaid recurring subscription fees covering the period after termination. The disclosed setup fee remains nonrefundable once setup work has begun.

ConvoPal AI is not responsible for a termination or suspension caused by Customer’s conduct or violation of applicable provider rules.

16. Customer Data and Privacy

ConvoPal AI will handle personal information in accordance with its Privacy Policy and any applicable Data Processing Addendum.

When Customer uses the Services to process information about its callers, leads, customers, website visitors, employees, or other individuals:

  • Customer generally acts as the business or controller determining why and how the information is processed;
  • ConvoPal AI generally acts as Customer’s service provider or processor; and
  • HighLevel and other Platform Providers may act as subprocessors.

Customer is responsible for responding to privacy-rights requests from its end users. ConvoPal AI will provide reasonable assistance as required by the applicable agreement and law.

Customer is responsible for maintaining copies or exports of information it needs for legal, operational, or recordkeeping purposes. Unless a separate backup service is expressly included, the Services are not a substitute for Customer’s independent backup system.

Following termination, Customer’s access to its account and data may end. Customer should export required data before the effective termination date. Data may subsequently be deleted or retained according to applicable law, Platform Provider procedures, and ConvoPal AI’s Privacy Policy.

17. Intellectual Property

ConvoPal AI and its licensors retain ownership of:

  • The ConvoPal AI name, branding, and trademarks;
  • Service configurations;
  • Templates;
  • Documentation;
  • Workflow designs;
  • Implementation methods;
  • Training materials;
  • Website content;
  • Custom code owned by ConvoPal AI; and
  • Other ConvoPal AI materials.

Platform Providers retain ownership of their respective software, systems, interfaces, infrastructure, and technology.

Subject to payment and compliance with these Terms, Customer receives a limited, nonexclusive, nontransferable, revocable right to use the purchased Services during the active subscription term.

Customer may not:

  • Reverse engineer or attempt to extract source code;
  • Copy or reproduce the underlying platform;
  • Resell or sublicense the Services;
  • Remove proprietary notices;
  • Circumvent usage limits;
  • Use the Services to build a competing platform; or
  • Grant unauthorized access to another person or business.

Customer may use AI-generated material created for its business, subject to applicable law and Platform Provider terms. ConvoPal AI does not guarantee that AI-generated material is unique, protectable by intellectual-property law, or free from similarities to third-party material.

18. Acceptable Use

The Customer agrees to comply with the ConvoPal AI Acceptable Use Policy, as updated from time to time. A violation of the Acceptable Use Policy constitutes a material breach of these Terms. ConvoPal AI may restrict, suspend, or terminate affected Services when reasonably necessary to prevent unlawful activity, protect the Services, comply with third-party provider requirements, or avoid harm or liability. The Customer is responsible for violations by its employees, contractors, users, integrations, and other persons accessing the Services through the Customer’s account.

Customer agrees to comply with the ConvoPal AI Fair Use and Service Limits Policy. ConvoPal AI may monitor usage, apply reasonable rate or resource limits, and restrict or suspend affected Services when usage exceeds the Customer’s plan, negatively affects the Services, violates provider requirements, or is otherwise excessive or unreasonable. These measures do not create separate usage, overage, wallet, carrier, or third-party provider fees. Customer is responsible for all usage attributable to its account, including usage generated by its users, AI agents, workflows, integrations, and automations.

Customer may not use the Services to:

  • Violate any law or regulation;
  • Send spam or unlawful solicitations;
  • Engage in fraud, deception, impersonation, or phishing;
  • Generate false reviews or misleading endorsements;
  • Harass, threaten, discriminate against, or harm another person;
  • Infringe intellectual-property or privacy rights;
  • Distribute malware or harmful code;
  • Circumvent security controls;
  • Provide unauthorized professional advice;
  • Conduct unlawful surveillance;
  • Make prohibited automated eligibility decisions; or
  • Sell or facilitate illegal or highly regulated goods or services without written approval.

ConvoPal AI may investigate suspected violations and cooperate with Platform Providers, carriers, regulators, courts, or law enforcement when legally required.

19. Support and Service Availability

ConvoPal AI will use commercially reasonable efforts to provide the Services and respond to support requests.

Unless a separate signed Service Level Agreement states otherwise:

  • No specific uptime percentage is guaranteed;
  • Support response times are estimates, not guarantees;
  • Scheduled and emergency maintenance may occur;
  • Third-party and telecommunications outages are outside ConvoPal AI’s control; and
  • Service credits are not provided.

ConvoPal AI does not guarantee that every call will connect, every message will be delivered, every lead will respond, or every integration will operate continuously.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CONVOPAL AI DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

CONVOPAL AI DOES NOT WARRANT OR GUARANTEE THAT THE SERVICES WILL:

  • ANSWER EVERY CALL OR MESSAGE;
  • PREVENT EVERY MISSED OPPORTUNITY;
  • PRODUCE ACCURATE AI OUTPUT;
  • GENERATE A PARTICULAR NUMBER OF LEADS, BOOKINGS, SALES, OR REVIEWS;
  • INCREASE REVENUE OR PROFIT;
  • SATISFY EVERY LEGAL OR INDUSTRY REQUIREMENT;
  • BE COMPATIBLE WITH EVERY THIRD-PARTY SYSTEM; OR
  • OPERATE WITHOUT INTERRUPTION.

CUSTOMER IS RESPONSIBLE FOR DETERMINING WHETHER THE SERVICES MEET CUSTOMER’S BUSINESS, LEGAL, TECHNICAL, AND OPERATIONAL NEEDS.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOPAL AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES DAMAGES FOR:

  • LOST PROFITS OR REVENUE;
  • LOST BUSINESS OR OPPORTUNITIES;
  • LOST OR CORRUPTED DATA;
  • LOSS OF GOODWILL;
  • BUSINESS INTERRUPTION;
  • MISSED APPOINTMENTS;
  • UNDELIVERED COMMUNICATIONS;
  • THIRD-PARTY PLATFORM FAILURES; OR
  • THE COST OF REPLACEMENT SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOPAL AI’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES, THESE TERMS, OR ANY ORDER FORM WILL NOT EXCEED THE FEES ACTUALLY PAID BY CUSTOMER TO CONVOPAL AI FOR THE AFFECTED SERVICES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM.

The liability cap is a maximum potential recovery. It does not create an automatic right to a three-month refund.

The limitations apply regardless of the legal theory asserted and even when ConvoPal AI has been advised that damages are possible.

Customer’s payment obligations and indemnification obligations are not limited by this section.

Nothing in these Terms excludes or limits liability to the extent it cannot legally be excluded or limited.

22. Customer Indemnification

Customer agrees to defend, indemnify, and hold harmless ConvoPal AI LLC and its owners, officers, employees, contractors, representatives, and service providers from third-party claims, investigations, penalties, damages, losses, judgments, costs, and reasonable attorneys’ fees arising from or relating to:

  • Customer’s products, services, pricing, offers, representations, or business practices;
  • Customer Content or instructions;
  • Customer’s use or misuse of the Services;
  • Communications initiated or authorized by Customer;
  • Customer’s failure to obtain required consent;
  • Call recording, transcription, text messaging, email, or marketing activities;
  • A privacy, consumer-protection, telecommunications, or intellectual-property violation by Customer;
  • Customer’s end users, callers, leads, or customers;
  • Customer’s use of AI-generated content or automated actions;
  • Customer’s failure to review, test, monitor, or correct the Services;
  • Customer’s breach of these Terms; or
  • Customer’s violation of applicable law.

Customer may not settle a claim in a manner that admits wrongdoing by or imposes obligations on ConvoPal AI without ConvoPal AI’s written consent.

This section does not require Customer to indemnify ConvoPal AI for claims caused solely by ConvoPal AI’s fraud, gross negligence, or willful misconduct.

23. Confidentiality

Each party may receive confidential business, technical, financial, customer, or operational information from the other.

The receiving party will:

  • Use confidential information only to perform or receive the Services;
  • Protect it using reasonable care;
  • Disclose it only to personnel and providers who need access and are subject to confidentiality obligations; and
  • Not disclose it to unrelated third parties without authorization.

Confidential information does not include information that is publicly available without breach, independently developed, lawfully received from another source, or already known without a confidentiality obligation.

A party may disclose information when required by law, provided it gives legally permitted notice to the other party.

24. Governing Law and Disputes

These Terms are governed by California law, without regard to conflict-of-law principles.

Before initiating litigation, the parties agree to provide written notice describing the dispute and attempt in good faith to resolve it informally for at least 30 days.

Any legal proceeding arising from these Terms or the Services must be brought in the state courts located in El Dorado County, California, or the applicable federal court serving that county, unless applicable law requires otherwise.

25. Changes to Services or Terms

ConvoPal AI may update these Terms to reflect changes in its Services, Platform Providers, pricing, security practices, legal obligations, or business operations.

Material changes will apply prospectively. ConvoPal AI will provide reasonable notice through email, the Customer account, the Services, or the website.

Continued use after the effective date constitutes acceptance, except where additional affirmative consent is legally required.

A material change to an existing signed order form will not alter the specific pricing or minimum term in that order form unless the order form permits the change or the parties agree in writing.

26. General Terms

Neither party is responsible for delays caused by events beyond its reasonable control, including natural disasters, government actions, labor disputes, cyberattacks, internet failures, telecommunications outages, carrier actions, Platform Provider failures, or widespread infrastructure failures.

Customer may not assign these Terms without ConvoPal AI’s written consent. ConvoPal AI may assign these Terms as part of a merger, acquisition, reorganization, financing, or sale of its business or assets.

If a provision is found unenforceable, it will be limited or replaced to the minimum extent necessary, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

The parties are independent contractors. These Terms do not create a partnership, franchise, employment, fiduciary, or agency relationship.

These Terms, the applicable order form, Privacy Policy, Data Processing Addendum, AI Disclosure Policy, Cancellation Policy, Acceptable Use Policy, and any signed service agreement constitute the agreement between the parties.

In the event of a conflict:

  • A signed Master Services Agreement controls;
  • The applicable order form controls commercial and service-specific terms;
  • The Data Processing Addendum controls personal-data processing matters;
  • These Terms control next; and
  • The remaining policies control their respective subjects.

Sections intended by their nature to survive termination will survive, including payment, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.
