Fair Use Policy

1. Purpose

This Fair Use and Service Limits Policy (“Policy”) explains the reasonable-use requirements, service limits, and resource restrictions applicable to products and services provided by ConvoPal AI LLC (“ConvoPal AI,” “ConvoPal,” “we,” “us,” or “our”).

This Policy is intended to:

  • Maintain reliable and equitable access to the Services;
  • Protect the security and performance of the Services;
  • Prevent excessive, abusive, fraudulent, or unauthorized usage;
  • Address limits imposed by third-party platform and service providers;
  • Ensure that customers manage usage attributable to their accounts responsibly; and
  • Protect ConvoPal AI and its providers from unexpected costs, system disruption, regulatory exposure, and misuse.

This Policy applies to every customer, account user, employee, contractor, integration, automation, AI agent, and other person or system accessing the Services through a customer’s account.

A violation by any person or system using a customer’s account will be treated as a violation by the customer.

2. Relationship to Other Agreements

This Policy forms part of and is incorporated into the ConvoPal AI:

  • Terms of Service;
  • Acceptable Use Policy;
  • AI Disclosure Policy;
  • Cancellation Policy;
  • Applicable order form;
  • Checkout agreement; and
  • Any signed service agreement or Master Services Agreement.

The Acceptable Use Policy primarily addresses prohibited activities and unlawful content. This Policy primarily addresses service quantities, platform resources, usage charges, and excessive or unreasonable consumption.

If this Policy conflicts with a signed Master Services Agreement or order form, the signed agreement will control regarding the conflicting subject.

3. Third-Party and White-Label Platform

ConvoPal AI provides managed, configured, branded, and white-labeled access to technology supplied by third-party platform and service providers, including HighLevel and its supporting providers.

The Services may rely on third parties for:

  • Customer relationship management;
  • AI voice and conversational features;
  • Website chatbots;
  • Telephone numbers and calling;
  • SMS and MMS messaging;
  • Email delivery;
  • Websites, funnels, forms, and calendars;
  • Workflow automations;
  • Hosting and storage;
  • Domain services;
  • Payment processing;
  • Analytics;
  • Integrations; and
  • Other platform functionality.

ConvoPal AI does not independently own or control all underlying software, telecommunications networks, AI models, infrastructure, usage limits, carrier requirements, or provider policies.

Customer acknowledges that usage limits, provider requirements, feature availability, pricing, functionality, and technical restrictions may be established or changed by an underlying provider.

ConvoPal AI may apply or enforce provider restrictions against a customer’s account when reasonably necessary to maintain access to the underlying platform or protect ConvoPal AI and other customers.

4. Plan-Specific Limits

Each subscription plan may include different features, allowances, users, locations, contacts, storage, communication volumes, AI usage, integrations, support, and other limits.

The customer’s applicable limits will be identified in one or more of the following:

  • The customer’s order form;
  • The pricing or checkout page accepted by the customer;
  • The applicable service agreement;
  • The customer’s account or billing dashboard;
  • An invoice;
  • A written usage notice; or
  • Documentation made available for the applicable Service.

Features or allowances not expressly included in the customer’s plan are not included.

Purchasing a subscription does not entitle the customer to every feature available through the underlying platform.

ConvoPal AI may apply reasonable technical limits or require the customer to select a different published plan before accessing features or capacity not included in the current plan. No plan change will occur without the customer’s agreement.

5. Meaning of “Unlimited”

When ConvoPal AI describes a particular feature as “unlimited,” the term applies only to the specific feature expressly identified as unlimited.

“Unlimited” does not mean:

  • Unlimited platform capacity;
  • Unlimited computing resources;
  • Unlimited concurrent activity;
  • Unlimited telephone calls or minutes;
  • Unlimited AI voice usage;
  • Unlimited SMS or MMS messages;
  • Unlimited email delivery;
  • Unlimited telephone numbers;
  • Unlimited users, locations, or subaccounts;
  • Unlimited data storage;
  • Unlimited API requests;
  • Unlimited third-party provider charges;
  • Unlimited implementation, configuration, or support labor; or
  • A right to use the Services in a manner that harms, disrupts, burdens, or interferes with the platform.

ConvoPal AI does not charge separate usage, overage, wallet, carrier, or third-party provider fees under its published plans.

An unlimited feature remains subject to:

  • This Policy;
  • The Acceptable Use Policy;
  • Technical and security restrictions;
  • Third-party provider limits;
  • Carrier and deliverability restrictions;
  • Reasonable rate limits;
  • Applicable law; and
  • Restrictions reasonably necessary to preserve service availability.

6. Included Allowances

A subscription may include a stated amount of usage, such as:

  • AI interactions or credits;
  • Calls or telephone minutes;
  • SMS or MMS segments;
  • Emails;
  • Contacts;
  • Users;
  • Workflows;
  • Automations;
  • Websites or funnels;
  • Calendars;
  • Storage;
  • Telephone numbers;
  • Integrations; or
  • Other Services.

Unless expressly stated otherwise:

  • Included allowances apply only during the applicable billing period;
  • Unused allowances do not roll over to a later billing period;
  • Unused allowances have no cash value;
  • Allowances cannot be transferred between unrelated accounts;
  • Usage beyond an included allowance may result in a reasonable technical limit or temporary restriction;
  • An allowance may be subject to reasonable technical restrictions; and
  • Included usage does not authorize unlawful, abusive, or prohibited activity.

7. No Usage-Based Fees

ConvoPal AI does not bill calls, minutes, telephone numbers, recordings, transcriptions, messages, emails, AI processing, workflows, integrations, domains, carrier costs, or other provider services separately from the published plan price.

The customer remains responsible for managing all activity generated through its account, including activity from employees, contractors, AI agents, automations, workflows, imported contacts, connected applications, misconfigured campaigns, and unauthorized users resulting from the customer’s failure to protect credentials.

Usage may still be monitored and reasonably limited to protect service availability, security, legal compliance, and provider relationships, but it will not generate an automatic usage or overage fee.

8. Reasonable Business Use

The Services are intended for the customer’s ordinary internal business operations and the business activities described during signup or onboarding.

Use is generally considered reasonable when it:

  • Relates to the customer’s legitimate business;
  • Is consistent with the customer’s purchased plan;
  • Does not materially impair platform performance;
  • Does not create disproportionate costs for an unmetered feature;
  • Does not circumvent technical or billing restrictions;
  • Does not interfere with another customer’s use;
  • Complies with applicable provider policies; and
  • Complies with the ConvoPal AI Acceptable Use Policy.

High usage by itself is not necessarily a violation when the usage is properly authorized, paid for, within the customer’s plan, and does not negatively affect the Services.

9. Excessive or Unreasonable Use

Usage may be considered excessive or unreasonable when, based on the circumstances, it:

  • Materially exceeds the limits of the customer’s plan;
  • Is substantially disproportionate to the ordinary usage of similarly situated customers;
  • Generates excessive third-party or infrastructure costs;
  • Degrades or threatens platform stability;
  • Interferes with another customer’s use;
  • Creates abnormal system load;
  • Creates a security, carrier, legal, or compliance risk;
  • Appears intended to avoid plan or technical limits;
  • Uses one feature to circumvent a limit applied to another feature;
  • Uses the Services for an unauthorized service bureau or resale operation;
  • Exceeds applicable provider or carrier thresholds; or
  • Is inconsistent with the customer’s stated business purpose.

Examples may include:

  • Extremely high-volume automated calls, messages, emails, or AI requests;
  • Automation loops that repeatedly trigger themselves;
  • Excessive or continuous API polling;
  • Large-scale scraping, crawling, or data extraction;
  • Maintaining an excessive number of inactive users or resources;
  • Uploading unusually large quantities of data without authorization;
  • Sharing one account among unrelated businesses;
  • Using one subaccount to serve multiple unauthorized customers;
  • Creating duplicate accounts to avoid plan or technical limits;
  • Attempting to bypass rate limits;
  • Continuing campaigns after a platform restriction;
  • Abnormally high usage caused by defective customer configurations;
  • Using AI or automation continuously without a legitimate business purpose; or
  • Activity that causes an underlying provider to restrict ConvoPal AI’s account.

These examples are illustrative and are not an exhaustive list.

10. Automations and Workflows

Customers are responsible for reviewing, testing, and monitoring their automations and workflows.

Customers must take reasonable precautions to prevent:

  • Infinite or repeating workflow loops;
  • Duplicate communications;
  • Excessive API calls;
  • Unnecessary workflow executions;
  • Repeated AI requests;
  • Unintended bulk updates;
  • Accidental mass communications;
  • Excessive data creation;
  • Conflicting triggers; and
  • Automations that continue after they are no longer needed.

ConvoPal AI may disable or restrict an automation when it appears to be malfunctioning, creating abnormal usage, or threatening platform performance.

Disabling an automation will not create a separate usage or overage charge.

11. Telephone and Voice-AI Usage

Calling and Voice AI Services do not carry separate usage fees but may be subject to:

  • Geographic restrictions;
  • Calling-hour restrictions;
  • Know-your-customer verification;
  • Consent requirements;
  • Rate limits;
  • Concurrency limits; and
  • Provider acceptable-use thresholds.

ConvoPal AI does not guarantee that every call will be completed or that every volume of calling will be permitted.

Outbound Voice AI may be paused automatically when an account exceeds applicable provider thresholds or fails to satisfy eligibility or compliance requirements. HighLevel currently states that its location-level acceptable-use safeguards can automatically pause outbound Voice AI activity.

Customers are responsible for monitoring call volume, duration, targeting, and consent.

12. Messaging and Email Usage

SMS, MMS, email, and other communication Services do not carry separate usage fees but may be subject to:

  • Sending limits;
  • Carrier filtering;
  • Email-provider limits;
  • Registration requirements;
  • Sender-verification requirements;
  • Consent requirements;
  • Bounce-rate limits;
  • Complaint-rate limits;
  • Opt-out requirements;
  • Reputation controls; and
  • Content restrictions.

ConvoPal AI may restrict messaging or email activity when usage threatens sender reputation, deliverability, provider relationships, or access for other customers.

13. Users, Accounts, Locations, and Access

Customers may use only the number of users, locations, accounts, or subaccounts included in their purchased plan.

Customers may not:

  • Share credentials with unrelated businesses;
  • Allow unauthorized third parties to use an account;
  • Use one customer account to operate multiple unrelated businesses unless authorized;
  • Resell or sublicense access without written approval;
  • Create duplicate accounts to avoid plan limits;
  • Misrepresent the number of users or locations;
  • Circumvent user permissions; or
  • Transfer access to another business without authorization.

ConvoPal AI may restrict additional users, locations, or accounts when the customer’s usage exceeds the applicable plan unless the customer agrees to move to a published plan that includes them.

14. Data, Contacts, and Storage

Contacts, records, recordings, files, media, transcripts, websites, documents, and other stored information may be subject to limits.

Customers may not use the Services as:

  • A general-purpose file-storage service;
  • A backup repository for unrelated data;
  • A permanent archive unless expressly included;
  • A repository for unlawfully obtained data;
  • A storage location for prohibited sensitive information; or
  • A method of avoiding storage charges imposed by another provider.

ConvoPal AI may require customers to delete unnecessary data, export information, or reduce storage usage when a plan limit is reached.

Customers are responsible for maintaining independent copies of information they are legally or operationally required to preserve.

15. APIs and Integrations

API and integration access may be subject to rate limits, request limits, security restrictions, and provider requirements.

Customers may not:

  • Overload an API or integration;
  • Repeatedly send unnecessary requests;
  • Circumvent rate limits;
  • Use unauthorized credentials;
  • Connect an integration that creates a security risk;
  • Use an integration to scrape or extract data unlawfully;
  • Continue using an integration after authorization is revoked; or
  • Use one integration credential for unrelated businesses without approval.

ConvoPal AI may suspend or disable an integration that creates excessive activity, errors, costs, or security risks.

16. Usage Measurement

Usage may be measured using records generated by ConvoPal AI, HighLevel, communications providers, AI providers, carriers, or other applicable platform providers.

Those records may be used to enforce plan limits, maintain service availability, and address security or compliance concerns. Usage measurement does not create separate usage, overage, wallet, carrier, or third-party provider fees.

Usage displays, dashboards, estimates, and notifications may be delayed. Customers are responsible for monitoring their usage and may not rely solely on receiving a warning from ConvoPal AI.

17. Payment Method and Service Interruption

Customers must maintain a valid payment method for the disclosed monthly or annual subscription price and any disclosed one-time setup fee.

ConvoPal AI does not require prepaid usage wallets, minimum usage balances, automatic wallet replenishment, or advance usage payments.

If a disclosed subscription payment fails or the account becomes past due, affected Services may be restricted, paused, delayed, or stopped.

18. Plan Limits and Plan Changes

When usage exceeds an included allowance, ConvoPal AI may apply a reasonable technical limit, restrict the affected feature, or temporarily suspend further usage to protect service availability and provider relationships.

ConvoPal AI will not impose an overage fee, deduct from a wallet, replenish a wallet, or automatically move the customer to a higher-priced plan. Any change to another published plan requires the customer’s agreement.

19. Provider-Imposed Restrictions

An underlying platform provider, telecommunications carrier, AI provider, email provider, payment processor, hosting provider, or integration provider may impose its own:

  • Usage limits;
  • Fair-use requirements;
  • Rate limits;
  • Eligibility requirements;
  • Content restrictions;
  • Verification requirements;
  • Geographic restrictions;
  • Technical service conditions;
  • Compliance safeguards; or
  • Service suspensions.

ConvoPal AI may apply or enforce those technical and compliance restrictions against the customer’s account. Provider changes will not create unlisted usage, overage, wallet, carrier, or third-party provider fees.

ConvoPal AI may not be able to provide advance notice when a provider immediately blocks, restricts, or changes a Service.

The customer is not entitled to continue using a feature in a manner prohibited or restricted by the underlying provider merely because that feature was previously available.

20. Monitoring

ConvoPal AI is not required to continuously monitor all customer activity. However, ConvoPal AI may review usage, logs, account activity, workflows, communications, storage, subscription-payment activity, and technical data when reasonably necessary to:

  • Enforce this Policy;
  • Investigate abnormal usage;
  • Address security concerns;
  • Respond to provider notices;
  • Prevent unexpected costs;
  • Maintain platform stability;
  • Respond to complaints;
  • Comply with law; or
  • Protect ConvoPal AI, its providers, customers, and third parties.

Monitoring will be performed subject to the Privacy Policy, applicable agreements, and applicable law.

21. Enforcement

If ConvoPal AI determines that usage may violate this Policy, ConvoPal AI may take one or more of the following actions:

  • Contact the customer for additional information;
  • Issue a warning;
  • Require corrective action;
  • Apply a reasonable usage or rate limit;
  • Disable an affected automation or integration;
  • Restrict a communication channel;
  • Offer the customer the option to select another published plan;
  • Apply a reasonable technical restriction;
  • Temporarily suspend an affected Service;
  • Suspend the customer’s account;
  • Remove unauthorized users or resources; or
  • Terminate the Services in accordance with the Terms of Service.

When reasonably practical, ConvoPal AI will notify the customer and provide an opportunity to correct the issue.

ConvoPal AI may take immediate action without prior notice when delay could:

  • Harm the platform or another customer;
  • Cause continued service disruption;
  • Violate a provider or carrier requirement;
  • Create a security risk;
  • Violate applicable law;
  • Expose ConvoPal AI to liability; or
  • Cause an underlying provider to suspend ConvoPal AI’s account.

22. No Circumvention

Customers may not attempt to evade this Policy by:

  • Creating additional accounts;
  • Dividing usage across multiple accounts;
  • Rotating telephone numbers, domains, users, or locations;
  • Using another person’s account;
  • Concealing the source of usage;
  • Manipulating usage records;
  • Disabling payment or account controls;
  • Repeatedly opening free trials;
  • Using unauthorized integrations; or
  • Employing another technical workaround.

Related accounts, businesses, users, or activity may be considered together when determining whether this Policy has been violated.

23. No Additional Usage Charges

Customers pay only the subscription price and one-time setup fee displayed for the selected plan or expressly stated in the applicable order form or checkout page, plus applicable taxes.

ConvoPal AI will not invoice or charge customers for usage, overages, provider costs, carrier surcharges, wallet deficits, automation activity, or other unlisted service fees, including after cancellation or termination.

24. Refunds and Credits

A restriction, suspension, or termination caused by the customer’s excessive use, nonpayment, prohibited activity, misconfiguration, or violation of this Policy does not entitle the customer to:

  • A refund;
  • A prorated credit;
  • An extension of service;
  • Compensation for interrupted activity.

The customer remains responsible only for the disclosed subscription price for the current paid billing period and any disclosed setup fee.

This section does not limit rights that cannot lawfully be waived.

25. High-Volume Usage

Customers expecting unusually high usage should contact ConvoPal AI before beginning the activity.

ConvoPal AI may apply reasonable technical capacity, rate, resource, support, and compliance limits to high-volume activity. High-volume usage will not generate automatic usage or overage fees.

ConvoPal AI is not obligated to support usage beyond standard plan limits. If another published plan better fits the customer’s needs, the customer may choose whether to change plans.

26. Changes to This Policy

ConvoPal AI may update this Policy prospectively to reflect changes in:

  • Platform-provider requirements;
  • Carrier rules;
  • Service features;
  • Security concerns;
  • Technical capabilities;
  • Business operations; or
  • Applicable law.

Material changes will be communicated through the website, email, customer account, dashboard, or another reasonable method.

Changes to technical limits imposed by a provider may take effect when imposed. They will not create unlisted usage, overage, wallet, carrier, or third-party provider fees.

Continued use after the effective date of an updated Policy constitutes acceptance, except where additional affirmative consent is required by law or agreement.
